These Terms of Service (“Terms”) govern your access to and use of the Spoonbill website and application (the “Service”). By using the Service, you agree to these Terms. If you are agreeing on behalf of a city, county, or other organization, you represent that you are authorized to bind that organization.
1. The Service
Spoonbill is an AI search tool that answers questions from your jurisdiction’s own publicly adopted planning documents and links each answer to its source. Spoonbill is operated in the United States, currently as a sole proprietorship; these Terms will be updated to name our legal entity once the business is formally incorporated.
2. Accounts
You sign in with a passwordless link sent to your email. You are responsible for keeping access to that email secure and for activity under your account. Tell us promptly at hello@spoonbill.dev if you believe your account has been used without authorization.
3. Free trial, plans, and billing
- Free trial. New accounts may start a 14-day free trial with no credit card. We may change or end trial offers at any time.
- Plans. Paid plans are priced by city size and include every planner in your department. Current pricing is shown on our pricing page.
- Billing. Plans are billed monthly or annually, as selected. Annual plans are paid in advance. We also support invoicing, purchase orders, and other government purchasing methods on request.
- Renewal and cancellation. Subscriptions renew automatically for the same term unless cancelled before the renewal date. You may cancel at any time and will keep access through the end of your paid term.
- Taxes. Fees do not include any applicable taxes, which are your responsibility unless you are tax-exempt and provide documentation.
4. Your content
The documents we index on your behalf remain yours. You grant us the limited right to store, index, and process them solely to provide the Service to you. We do not sell your content and do not use it to train shared or third-party AI models. See our Privacy Policy for details.
5. Acceptable use
You agree not to: misuse or disrupt the Service; attempt to access it without authorization; scrape, resell, or redistribute it; reverse-engineer it except as permitted by law; or use it to violate any law or the rights of others.
6. Availability and changes
We work to keep the Service available and current, and we keep your indexed documents up to date as your source materials change. We may modify, suspend, or discontinue features, and we do not guarantee uninterrupted or error-free operation.
7. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. As noted above, Spoonbill does not provide legal, planning, or other professional advice, and you are responsible for verifying answers against your official adopted documents.
8. Limitation of liability
To the fullest extent permitted by law, Spoonbill will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.
9. Indemnification
You agree to indemnify and hold Spoonbill harmless from claims arising out of your misuse of the Service or your violation of these Terms, to the extent permitted by the laws that apply to your organization.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms or use the Service in a way that risks harm to others or to the Service. On termination, you may request export or deletion of your data as described in our Privacy Policy.
11. Governing law
These Terms are governed by the laws of the United States and the state in which Spoonbill is operated, without regard to conflict-of-laws rules. Public entities remain subject only to the governing law and dispute-resolution requirements that apply to them under their own law.
12. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide notice through the Service. Continued use after changes take effect means you accept the updated Terms.
